End User License Agreement

1.ACCEPTANCE OF TERMS: Use of Typeface constitutes acceptance of the terms of this Agreement. If you do not accept these terms, please do not complete the purchase transaction. As with all purchases of fonts from foundries or distributors, you are not purchasing the copyright or title to the design of the typefaces, but the rights to use the typeface designs and font software.

2.GRANT OF LICENSE: greyletter (Licensor) grants to the purchaser of this typeface package (Licensee), a perpetual non-exclusive, non-transferable license to use the contents, Licensor's typeface/font software (Typeface), on up to five computers/devices belonging to the single individual, company or organization specified on the invoice. Computers/Devices consist of desktop workstations, laptops, PDA's, mobile phones and similar devices that render the Typeface. To use the Typeface on more than five devices additional licenses must be purchased. Licensee agrees not to duplicate, reproduce, sell, transfer, license or otherwise distribute the Typeface in any form, except as provided herein. Licensee agrees not to decompile, modify, reformat, translate, reverse-engineer or otherwise discover the source code of the Typeface. Licensee agrees not to make or commission others to make modifications, including but not limited to additions, deletions to the Typeface without prior written consent of Licensor. (see 5b). Licensee agrees not to embed the Typeface in an electronic document by means prohibited below (see item 6). Licensor reserves all rights not expressly granted to the Licensee in this agreement.

3.INTELLECTUAL PROPERTY RIGHTS: Licensor retains full title, ownership and intellectual property rights of the Typeface (artwork and code), including all subsequent copies of the artwork or software regardless of the format in which they are expressed or the media on which they are recorded. Updates, revisions, enhancements or additions to the Typeface produced by Licensor or others shall become part of, and subject to, this Agreement.

4.NO TRANSFER OF RIGHTS/DISTRIBUTION: Licensee may not sell, lease, sub-license, or otherwise assign any rights, in whole or in part, of the Typeface to any person or entity. Licensee is prohibited from transferring the Typeface to, or share with, subcontractors, freelance designers, printers, service bureaus or any other third party organization.

5.PERMITTED USES:
a)BACKUP: Licensee may create a single copy of the Typeface for the purposes of backup.

b)ARTWORK: Licensee may use Typeface to create outline artworks for personal or business use. Modification of limited number of letter-forms for personal or business outline artwork is permitted.
c)WEB APPLICATIONS: Licensee may display the Typeface on web pages, providing that the Licensee ensures Typeface is not made available to others for download. This license does not grant the Licensee the right to make the Typeface available for a server-based application. To make the typeface available for a server-based application, contact Licensor to obtain a special license for this application.

6.EMBEDDING: Licensee can embed the Typeface in electronic documents including PDF, Flash and Microsoft Office documents (such as Word or Powerpoint), or multimedia files providing that the entire character set is not embedded. This license does not permit the Licensee embed the Typeface in periodicals published over public networks. To embed the typeface in a periodical published over a public network, contact Licensor to obtain a special license for this application.

7.LIMITATION OF LIABILITY: LICENSOR MAKES NO WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. LICENSOR DOES NOT WARRANT THAT THE OPERATION OF THE TYPEFACES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT THE TYPEFACES ARE WITHOUT DEFECTS. LICENSOR WILL NOT BE LIABLE TO LICENSEE OR ANY OTHER USER OF THIS TYPEFACE FOR ANY DAMAGES, INCLUDING BUT NOT LIMITED TO, LOST PROFITS OR LOST SAVINGS AS A RESULT OF LICENSEE'S OR ANY OTHER USER'S USE OF THE LICENSER'S TYPEFACE.

8.TERMINATION: Licensor may terminate this Agreement for any material breach of this Agreement by Licensee thirty (30) days after written notice to Licensee of alleged breach(es). In addition to a list of the alleged breach(es), the written notification will indicate corrective actions. If Licensee fails to take corrective actions to remedy the breach(es) within the thirty (30) day period, this Agreement shall automatically terminate. Upon termination of this Agreement for any reason, Licensee is required to destroy or return to Licensor all original Font Software and certify to Licensor that all copies of the Software have been destroyed. In the event of termination due to breach by Licensee, nothing herein shall be construed as a waiver of any of Licensor?s rights or remedies under Equity or Law.
